My friend is afraid of getting intimate to her boyfriend

My friend Cathy is involved with a man who loves her, is faithful, caring and provides whatever she needs. She is 24 years old, while he is 35 years.

My friend Cathy is involved with a man who loves her, is faithful, caring and provides whatever she needs. She is 24 years old, while he is 35 years.
 
He told her that he has two children, but separated with the mother of his children, who is now married to another man. 
 
Cathy says they have never been intimate as a couple. He is now demanding to make love to her. He told her that he wants to be intimate with her because he is not a teenager. Besides, he added that he does not want to get tempted to sleep with another woman and lie to his girlfriend that he is abstaining from sex, yet he is cheating on her. 
 
Cathy and her boyfriend have been together since November last year, but she is afraid that if she gives in, he may use and dump her. They are both HIV-negative. 
 
However, he has told her that if she cannot meet his demands, then they should remain friends. Should she leave him or give in to his demands?
